Terms and Conditions

Welcome to HQ OS, a software-as-a-service (SaaS) platform operated by Chiastic Consulting, LLC (“we,” “our,” or “us”). By accessing or using HQ OS, you (“User,” “Company,” or “you”) agree to be bound by these Terms and Conditions.

1. Account Registration and Use

To use HQ OS, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep your account credentials secure. You are responsible for all activities that occur under your account.

2. QuickBooks Integration Authorization

HQ OS offers an integration with Intuit QuickBooks Online. By enabling this integration, you expressly authorize Chiastic Consulting, LLC to access, read, write, and modify your QuickBooks data via the Intuit API on your behalf. You agree that Chiastic Consulting, LLC is not responsible for any data corruption, loss, or accounting errors resulting from the use of this integration. You may revoke this access at any time through your QuickBooks or HQ OS account settings.

3. Subscription, Billing, and Refunds

HQ OS is a paid subscription service. By subscribing, you authorize us to charge your payment method on a recurring basis (monthly or annually) depending on your selected plan.

Monthly Subscriptions: Monthly subscription payments are final and non-refundable. You may cancel at any time, and you will retain access to the platform until the end of your current billing cycle.

Annual Subscriptions: We offer a 30-day grace period for annual subscriptions. If you cancel an annual subscription within 30 days of the initial payment or a renewal payment, you may request a full refund for that annual charge. After 30 days, annual payments are non-refundable.

4. Acceptable Use

You agree not to use HQ OS to:

• Violate any local, state, or federal laws.
• Send spam or unauthorized commercial communications through our email integrations.
• Reverse-engineer, decompile, or attempt to extract the source code of the HQ OS platform.

5. Intellectual Property and Data Ownership

Chiastic Consulting, LLC retains all intellectual property rights to the HQ OS software, interface, and underlying code. You retain full ownership of all customer data, business operations data, and financial records you input into or sync with HQ OS.

Data Portability and Export: We believe your data belongs to you. You may export a complete copy of your operational and customer data from the HQ OS platform at any time. To ensure platform stability and prevent server abuse, data export requests are limited to one (1) full export per company account per rolling 24-hour period.

6. Service Availability and Uptime

We understand that HQ OS is critical to your daily business operations. We strive to maintain a minimum of 99.9% service availability for the platform, excluding scheduled maintenance.

Scheduled Maintenance: We will occasionally need to perform routine maintenance or upgrades to the software. We will make commercially reasonable efforts to schedule this maintenance during off-peak hours and will notify you at least 24 hours in advance of any planned downtime that is expected to exceed 15 minutes.

Third-Party Outages: HQ OS relies on third-party infrastructure (such as Supabase for hosting and database services) and external APIs (such as Intuit QuickBooks). We are not responsible for service interruptions, data sync delays, or downtime caused by outages, rate limits, or connectivity issues originating from these third-party services.

Force Majeure: We are not liable for any downtime caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, internet service provider failures, or cyberattacks.

7. Limitation of Liability

To the maximum extent permitted by law, Chiastic Consulting, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business interruption, arising out of your use or inability to use HQ OS. The service is provided “as is” without warranties of any kind.

8. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Michigan.
